The short version
This section is a plain-English summary of the relationship. The full Terms below govern the Service and provide the precise contractual rules.
Mighty Andy is a decision-support and risk-management service for tender decisions.
We analyse tender material and relevant company information to surface requirements, risks, bottlenecks, contradictions, missing evidence and patterns that may not be immediately obvious.
We take responsibility for applying reasonable care and skill to the analysis we perform, and we aim considerably higher in the thoroughness and quality of service we provide.
Mighty Andy is designed to support good judgment, not replace it. You remain responsible for deciding whether to pursue an opportunity, what to submit, and what representations to make.
A Mighty Andy diagnostic does not guarantee eligibility, compliance, award or commercial success. It is designed to make the information available to you clearer, expose uncertainty where it exists, and help you investigate competing interpretations before committing further resources.
If something appears wrong, tell us. We investigate credible concerns rather than arguing around them. Depending on the circumstances, we may correct the analysis, rerun part or all of the case, bring in members of our own expert team, provide additional Runs or credit, or otherwise resolve the issue appropriately.
Refunds are possible where appropriate, but are not the default remedy for a completed Run.
Mighty Andy acquires no ownership of the material you provide. Customer Content is treated as confidential, and we use technical service providers where necessary to operate the Service.
During beta periods, the Service is deliberately more instrumented. We may retain and inspect more information about Runs, product behaviour and usage than we intend to retain in the mature product.
The Terms below explain these commitments more precisely.
Our approach to service
Mighty Andy is committed to providing exemplary service and to approaching Customer problems with generosity of intention.
We actively engage with feedback and with the difficulties our Customers encounter. Where we believe it would genuinely help, we may offer additional support, solutions or services beyond the ordinary scope of a Run.
This may include further analysis, additional Runs, direct involvement from members of our own expert team, working through a difficult issue with the Customer, helping with aspects of a bid, or even the development of new services shaped around the realities our Customers face.
Any such support is offered at Mighty Andy’s discretion. It is additional to the standard Service, does not create an ongoing entitlement, and does not mean that equivalent support will be available in every case.
We aim to treat each Customer relationship as a thoughtful partnership in turning painful mess into ordered smoothness, while continuously looking for ways to reduce the avoidable complexity, administrative burden and needless headaches faced by SMEs.
1. The Service
Mighty Andy analyses tender opportunities and related business material to help organisations make faster and better-informed decisions about where to allocate bid resources.
The Service may identify and analyse matters including:
- requirements and dependencies
- gaps in available evidence
- contradictions and ambiguities
- potential bottlenecks
- unusual or non-obvious patterns
- areas requiring further investigation
- factors relevant to a bid/no-bid decision
Mighty Andy may use automated systems, artificial intelligence and human review in providing the Service.
Mighty Andy does not ordinarily write or submit bids on behalf of the Customer and does not act as a contracting authority, certify compliance, or make the Customer’s final commercial decision.
Where Mighty Andy chooses to provide additional support beyond this ordinary scope, that support is governed by the section Our approach to service above unless separately agreed.
A Run means an individual diagnostic performed by Mighty Andy against a particular opportunity and the material made available for that case.
2. What a diagnostic means
A Mighty Andy diagnostic reflects the material the Service was able to inspect and the analysis performed against that material at the time of the Run.
Where relevant, Mighty Andy may distinguish between:
- information directly supported by inspected material
- interpretation or inference
- uncertainty or ambiguity
- contradictory information
- information that appears to be missing
- material that could not be inspected
Tender documentation and Customer information can themselves be incomplete, inconsistent, ambiguous or incorrect. Identifying those conditions may itself form part of the Service.
Mighty Andy aims to reduce uncertainty. It does not claim certainty where certainty is not available.
The Service is intended to create clarity, structure investigation and improve the information available to the Customer when making consequential decisions.
3. Customer Content and Customer decisions
Customer Content means tender documents, company information and other material supplied or authorised by the Customer for use with the Service.
Mighty Andy acquires no ownership of Customer Content.
As between the parties, the Customer retains all rights it holds in the material it provides or authorises Mighty Andy to process.
The Customer does not need to provide perfectly organised or complete material. Finding missing, contradictory or poorly organised evidence may itself form part of the diagnostic.
The Customer does, however, confirm that it has the right and authority to provide or authorise Mighty Andy to process the relevant material.
The Customer must not knowingly provide unlawful material, malicious software, or information it has no right to disclose.
The Customer remains responsible for the commercial decisions it makes using Mighty Andy.
This includes deciding whether to pursue an opportunity, determining final pricing and strategy, checking representations made in a tender, obtaining specialist advice where appropriate, and making the final submission.
4. When something goes wrong
We want concerns about a Run to be investigated rather than argued around.
If a Customer believes Mighty Andy has missed important material, misunderstood evidence, produced an unsupported conclusion, failed technically, or otherwise produced a materially flawed diagnostic, it should provide enough information for us to understand and investigate the issue.
Where a Customer raises a credible concern about a completed Run, Mighty Andy will review the issue.
Depending on the circumstances, Mighty Andy may:
- correct the diagnostic
- repeat all or part of the analysis
- bring in members of its own expert team for further review
- provide one or more additional Runs
- issue account credit
- provide another appropriate remedy
Mighty Andy may go beyond what these Terms require when we believe doing so is the right commercial response.
Providing additional Runs, credit, support or another goodwill remedy in one case does not create an automatic entitlement to the same remedy in another.
A Run we cannot provide
Where Mighty Andy itself is unable to complete a purchased Run, we will seek to complete, repeat or otherwise provide the purchased Service without further charge.
If we cannot reasonably provide the purchased Service or an equivalent remedy, the Customer will be entitled to reimbursement of the amount paid for the undelivered Run.
Refunds for completed Runs
A completed Run is not automatically refundable because the Customer disagrees with its conclusion, ultimately decides not to pursue the opportunity, or considers the analysis less useful than expected.
Where there is a genuine problem with a completed Service, our preference is normally to understand and remedy it first.
Refunds may nevertheless be provided where Mighty Andy considers them appropriate or where required by law.
5. Beta operation
Mighty Andy may operate as a Closed Beta, Open Beta or generally available Service.
Beta means that the underlying Service is real, but the product around it is still being observed, tested and improved.
Features, interfaces, workflows and analytical systems may therefore change more frequently during beta.
Beta status does not remove Mighty Andy’s responsibility to provide purchased services in accordance with these Terms.
Closed Beta
Closed Beta is deliberately more instrumented than we expect the mature product to be.
We may associate usage with individual accounts and organisations and retain more detailed information about Runs, interactions, errors, technical behaviour, support cases, product usage and related company context.
Members of the Mighty Andy team may inspect relevant records or Customer cases where useful for understanding product behaviour, investigating problems, supporting the Customer or improving the Service.
Open Beta
Open Beta may continue to use additional product-development instrumentation and longer diagnostic retention than the mature Service, but generally with less intensive observation and manual involvement than Closed Beta.
General availability
As Mighty Andy matures, we intend to reduce product-development instrumentation and minimise information retained beyond what is useful for providing, securing and supporting the Service.
Our Privacy Notice and Data Processing Agreement describe the relevant categories of data, purposes of processing, retention periods and other data-protection arrangements in greater detail.
6. Confidentiality and data
Customer Content is confidential by default.
Mighty Andy does not sell Customer Content or publish identifiable Customer cases without permission.
Mighty Andy may use authorised infrastructure, AI, technology and other service providers where necessary to operate the Service.
Where those providers process Customer information, they are subject to applicable contractual, confidentiality and data-protection arrangements.
Access by Mighty Andy personnel is limited to situations where it is reasonably useful or necessary to provide the Service, investigate a problem, support the Customer, protect the Service, or perform activities associated with an applicable beta programme.
Customer Content is not provided for the purpose of training third-party general-purpose AI models unless this has been expressly agreed with the Customer.
Where Mighty Andy processes personal data contained in Customer Content on the Customer’s behalf, the Privacy Notice and Data Processing Agreement form part of the agreement.
7. Learning and product improvement
Mighty Andy may use feedback, operational information, product telemetry, technical errors, evaluations, lawfully derived patterns and generalised know-how to understand, secure and improve the Service.
The extent of this activity may be greater during Beta periods.
Customer relationships may also reveal recurring problems or needs that influence the design of Mighty Andy or lead to the creation of new products and services.
This does not give Mighty Andy unrestricted rights to reuse confidential Customer Content or personal data for unrelated purposes.
Any processing of Customer Content or personal data remains subject to the applicable confidentiality, privacy and data-processing commitments.
8. Outputs and Mighty Andy intellectual property
The Customer may use, copy and share reports and outputs produced specifically for it for its own business purposes.
Mighty Andy retains ownership of the Service itself, including its software, systems, diagnostic architecture, workflows, methods, prompts, models, interfaces, branding and underlying intellectual property.
Feedback voluntarily provided to Mighty Andy may be used to improve the Service without creating an obligation to compensate the Customer, provided this does not give Mighty Andy rights over Customer Content beyond those otherwise established in these Terms.
9. Purchases, invoices and tax
The price and number of Runs or other services included in a purchase are shown before payment or otherwise agreed with the Customer.
Unless expressly agreed otherwise, payment is made in full before Mighty Andy begins the purchased Service.
Mighty Andy issues the applicable invoice for the purchase.
Prices may change for future purchases without affecting services already purchased.
Current commercial structure
Mighty Andy’s current commercial and financial structure is hosted by GUILHEM KUCZYNSKI, operating in France under entrepreneur individuel status.
For the purposes of these Terms and current purchases, GUILHEM KUCZYNSKI is the legal provider of the Service.
This structure is intended to support Mighty Andy while its United Kingdom corporate and financial structure is established, and may change as the business develops.
VAT
For qualifying general-rule B2B services supplied to a business established in the United Kingdom, French VAT is not charged.
Applicable invoices state:
TVA non applicable – art. 259-1 du CGI
Depending on its circumstances, the Customer may be required to account for UK VAT under applicable reverse-charge rules.
Customers remain responsible for their own tax treatment and may be asked to provide reasonable evidence of their business status where necessary.
The tax treatment applicable to future purchases may change if Mighty Andy’s legal structure, the Customer’s circumstances or applicable law changes.
Where Mighty Andy exceptionally agrees to deferred payment, late-payment penalties accrue automatically from the day following the payment date stated on the invoice, without the need for a reminder, at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with the statutory fixed recovery indemnity of €40, subject to applicable law.
10. Availability and turnaround
Mighty Andy aims to process Runs promptly and may communicate expected turnaround times when a service is purchased.
Unless expressly agreed otherwise, a stated turnaround is an operating target rather than a guaranteed service level.
A Run may take longer where material is unusually large, technically difficult, incomplete, inaccessible, requires further investigation, or where a technical, security or infrastructure problem affects the Service.
Mighty Andy may temporarily restrict access where reasonably necessary for maintenance, security, legal compliance, capacity management or protection of the Service.
Section 4 governs situations in which a material problem prevents a purchased Run from being provided.
11. Responsibility and financial limits
Mighty Andy is a decision-support and risk-management service designed to help Customers make better-informed decisions about tender opportunities.
We undertake to perform the Service with reasonable care and skill.
Our broader operating standard is to pursue careful, thorough and high-quality analysis, surface uncertainty rather than conceal it, and investigate credible problems when they arise.
Where Mighty Andy has materially failed to inspect relevant material, incorrectly represented what it inspected, or made another substantive processing or analytical error, the Customer may raise the issue through the service-resolution process described in Section 4.
Mighty Andy is not a substitute for good professional or commercial judgment.
Its purpose is to improve the information and reasoning available to the Customer, not to remove the Customer from the decision.
A Mighty Andy diagnostic therefore does not guarantee eligibility, acceptance, award, profitability or any particular interpretation by a contracting authority or evaluator.
Tender outcomes depend on circumstances, decisions and information that may extend beyond the material available to Mighty Andy.
Mighty Andy takes responsibility for the Service it provides. It does not underwrite the economic value of the tender, contract or commercial opportunity being analysed.
Financial responsibility
Subject to applicable law, Mighty Andy is responsible for losses that are the direct and reasonably foreseeable consequence of a breach of its obligations under these Terms.
The amount or potential value of a tender, contract or commercial opportunity does not determine the extent of Mighty Andy’s financial responsibility.
Mighty Andy’s aggregate liability in damages to a Customer arising out of or in connection with the Service during any twelve-month period will not exceed the greater of:
- £2,000, or
- twice the total amount paid by that Customer to Mighty Andy during that twelve-month period.
This financial limit does not remove Mighty Andy’s obligation to perform the Service with reasonable care and skill, investigate credible concerns, or provide the service-resolution remedies expressly established by these Terms.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law, including in circumstances where a limitation cannot validly apply because of fraud, intentional misconduct or gross fault.
12. Fair use and suspension
The Customer must not:
- use Mighty Andy for unlawful purposes
- deliberately interfere with or compromise the Service
- bypass security or access controls
- deliberately overload or abuse the Service
- resell access without permission
- knowingly misrepresent a Mighty Andy diagnostic as a guarantee or formal certification issued by Mighty Andy
Mighty Andy may suspend access where reasonably necessary to address abuse, security risks, non-payment, legal obligations or a material breach of these Terms.
Suspension or discontinuation of a beta programme does not remove obligations relating to services already paid for.
13. Changes and ending the relationship
The Customer may stop using Mighty Andy at any time.
Mighty Andy may update these Terms as the Service evolves.
Material changes apply prospectively. They do not silently rewrite the terms governing a Run or purchase that has already been completed.
Terms concerning confidentiality, payment, ownership, data handling, responsibility and other provisions that by their nature need to continue will survive the end of the relationship.
14. Changes to Mighty Andy’s legal structure
Mighty Andy’s legal and corporate structure may change as its United Kingdom operations are established and the business develops.
By accepting these Terms, the Customer consents in advance to the transfer of this agreement and the relevant rights and obligations under it to a successor entity established to acquire, continue or operate the Mighty Andy business, including a United Kingdom entity.
Any such transfer will be notified to the Customer.
A transfer will not materially reduce rights already arising from purchased Runs, confidentiality obligations, Customer Content, service resolution or other commitments already made to the Customer.
15. Events outside reasonable control
Neither party is responsible for delay or failure caused by events genuinely outside its reasonable control where the affected party could not reasonably have prevented or overcome the event.
This does not remove obligations relating to confidentiality, Customer Content, amounts already due, or the resolution of a purchased Service that ultimately cannot be provided.
16. Legal framework
These Terms apply to Customers acting for business or professional purposes. Mighty Andy is not currently offered to consumers.
These Terms are governed by French law.
If a disagreement arises, both parties should first make a reasonable good-faith effort to resolve it directly.
Jurisdiction will be determined in accordance with applicable law unless Mighty Andy and the Customer validly agree otherwise in writing.
If one provision of these Terms cannot be enforced, the remainder continues in effect.
A failure to enforce a provision on one occasion does not waive the right to enforce it later.
Order of precedence
For matters concerning the processing of personal data, the Privacy Notice and Data Processing Agreement govern specifically and prevail over these Terms to the extent of any inconsistency relating to that processing.
For all other matters, the following order applies unless expressly agreed otherwise:
- a separately signed agreement or Order expressly agreed between Mighty Andy and the Customer
- any service-specific terms expressly incorporated into that purchase
- these Terms of Service
A more specific provision takes priority over a more general provision where both address the same subject.
